Terms of Service - KOI Gallery, Backup & Optimizer

1. Agreement to Terms

These Terms and Conditions ("Terms") govern your use of KOI Gallery, Backup & Optimizer ("the App"), a Shopify application provided by Yield Tech Hub ("we," "our," or "us").

By installing, accessing, or using KOI Gallery, Backup & Optimizer, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not use the App.

2. Service Description

KOI Gallery, Backup & Optimizer is a Shopify application that provides gallery creation, backup, and optimization features. The App allows you to:

• Create stunning custom galleries
• Create unlimited backups of your store data
• Optimize store performance for faster loading
• Improve SEO with optimization features

3. Shopify Application Terms

3.1 Installation and Use

KOI Gallery, Backup & Optimizer is subject to Shopify's terms of service and policies. By installing the App, you agree to:

• Comply with Shopify's App Store terms and conditions
• Use the App only for its intended purpose
• Not attempt to reverse engineer or modify the App
• Maintain the security and integrity of your Shopify store

3.2 Data Access and Privacy

The App may require access to certain data from your Shopify store to function properly. We will:

• Only access data necessary for app functionality
• Protect your data according to our Privacy Policy
• Not sell or share your data with third parties without consent
• Implement appropriate security measures to protect your information

4. Acceptable Use Policy

You agree not to use KOI Gallery, Backup & Optimizer for any unlawful purpose or any purpose prohibited under this clause. You may not:

• Violate any applicable laws or regulations
• Use the App to distribute harmful or offensive content
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the App
• Use automated systems to access the App without permission
• Engage in fraudulent or deceptive practices

5. Payment Terms and Billing

5.1 Subscription Fees

KOI Gallery, Backup & Optimizer may require a subscription fee. By subscribing, you agree to:

• Pay all applicable fees as described in the service description
• Provide accurate billing information
• Authorize us to charge your payment method
• Notify us of any changes to your billing information

5.2 Billing and Renewal

Subscription fees are billed in advance on a monthly or annual basis. Your subscription will automatically renew unless you cancel before the renewal date. You can cancel your subscription at any time through your Shopify admin panel or account settings.

5.3 Refunds

Refunds are handled on a case-by-case basis. We may provide refunds for technical issues that prevent proper use of the App, but we do not guarantee refunds for change of mind or dissatisfaction with the service.

6. Intellectual Property Rights

KOI Gallery, Backup & Optimizer and its original content, features, and functionality are and will remain the exclusive property of Yield Tech Hub and its licensors. The App is protected by copyright, trademark, and other laws.

You may not:

• Copy, modify, or distribute the App or its content
• Reverse engineer, decompile, or disassemble the App
• Remove or alter any proprietary notices
• Use our trademarks or logos without permission

7. Service Availability and Modifications

We strive to maintain high service availability, but we do not guarantee that KOI Gallery, Backup & Optimizer will be available at all times. We may:

• Perform scheduled maintenance that may temporarily interrupt service
• Update or modify the App to improve functionality
• Discontinue certain features or services with reasonable notice
• Suspend service for violations of these Terms

8. Limitation of Liability

To the maximum extent permitted by law, Yield Tech Hub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of KOI Gallery, Backup & Optimizer.

Our total liability to you for any damages arising from or related to these Terms or the App shall not exceed the amount you paid us for the App in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Yield Tech Hub and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of KOI Gallery, Backup & Optimizer or violation of these Terms.

10. Termination

We may terminate or suspend your access to KOI Gallery, Backup & Optimizerimmediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use KOI Gallery, Backup & Optimizer will cease immediately. You may uninstall the App at any time through your Shopify admin panel.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms shall be interpreted and governed by the laws of the jurisdiction in which Yield Tech Hub is incorporated, without regard to its conflict of law provisions.

Any disputes arising from these Terms or KOI Gallery, Backup & Optimizer shall be resolved through binding arbitration in accordance with applicable rules, except that either party may seek injunctive relief in court to prevent irreparable harm.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

By continuing to access or use KOI Gallery, Backup & Optimizer after those revisions become effective, you agree to be bound by the revised terms.
